Agreement
These terms are between [LEGAL ENTITY NAME] ("GuardLanes") and the organisation that accepts them ("Customer"). They govern use of the GuardLanes website and, together with an order form, the GuardLanes platform. By using the website or platform you agree to these terms.
The service
GuardLanes provides a security workforce operations platform comprising the Officer App, the Dispatch Console, ClientView, and the modules described on this website. Features vary by plan as set out on the pricing page and in the Customer's order form.
We may improve or modify the service. We will not materially reduce the core functionality of a paid plan during a subscription term without notice.
Accounts and acceptable use
The Customer is responsible for the accuracy of its account information, for the actions of its users, and for keeping credentials confidential. The Customer must not use the service to break the law, infringe rights, upload malicious code, or attempt to access other customers' data.
Officers and client users access the platform through accounts created by the Customer. The Customer is responsible for providing any notices those individuals are entitled to.
Subscriptions and payment
Launch and Scale plans are billed per active officer per month, monthly or annually in advance. Enterprise plans are billed as set out in the order form. Fees are exclusive of taxes. Late payments may result in suspension after written notice.
Subscriptions renew automatically for the same term unless either party gives notice at least 30 days before renewal.
Customer data
The Customer owns all data it uploads to the platform. GuardLanes processes that data only to provide the service, under the data processing agreement, and as described in the privacy notice. The Customer may export its data at any time and for 30 days after termination.
GuardLanes may use aggregated, de-identified usage data to operate and improve the service.
Confidentiality
Each party will protect the other's confidential information with at least reasonable care and use it only for the purposes of this agreement. This obligation survives termination for three years.
Intellectual property
GuardLanes retains all rights in the platform, its software, documentation, and branding. The Customer receives a non-exclusive, non-transferable licence to use the service during the subscription term. Feedback may be used by GuardLanes without obligation.
Availability and support
GuardLanes targets 99.95% monthly uptime. Enterprise agreements include a contractual uptime SLA with service credits. Support is provided by email on all plans and by phone on Scale and Enterprise.
Warranties and disclaimers
GuardLanes warrants that the service will perform materially as described. Except as stated, the service is provided "as is" and GuardLanes disclaims all other warranties to the extent permitted by law. GuardLanes does not warrant that the service will prevent security incidents at the Customer's sites.
Limitation of liability
To the extent permitted by law, neither party is liable for indirect, consequential, or special damages. Each party's total liability under this agreement is limited to the fees paid by the Customer in the 12 months before the claim. These limits do not apply to breach of confidentiality, infringement of the other party's intellectual property, or liability that cannot be limited by law.
Term and termination
This agreement lasts for the subscription term. Either party may terminate for material breach that is not cured within 30 days of notice. On termination, the Customer's access ends and data is available for export for 30 days before deletion.
General
This agreement is governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have exclusive jurisdiction. If any provision is unenforceable, the remainder stays in effect. Notices must be in writing to the addresses in the order form or to legal@guardlanes.com.
